1. Acceptance of Terms

By accessing or using the RIAFIN website ("Site") or engaging our services, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Site or services.

RIAFIN reserves the right to modify these Terms at any time. Continued use of the Site after changes constitutes acceptance of the updated Terms.

2. About RIAFIN

RIAFIN ("we," "our," or "us") is a remote Business Process Outsourcing (BPO) provider that delivers paraplanning, compliance support, and practice administration services from India to Australian financial advice practices.

Our services are designed to complement and support the operations of licensed Australian financial advisers and planning firms. We do not provide financial advice, hold an Australian Financial Services Licence (AFSL), or act as authorised representatives.

3. Services

3.1 Scope of Services

RIAFIN provides outsourced support services including, but not limited to:

• Statement of Advice (SOA) preparation
• Record of Advice (ROA) preparation
• Insurance and investment research
• Compliance documentation and file reviews
• Practice administration and CRM management

3.2 Service Agreements

All service engagements are governed by a separate Service Agreement entered into between RIAFIN and the client. These Terms of Use supplement but do not replace any such Service Agreement. In the event of a conflict, the Service Agreement shall prevail.

3.3 No Financial Advice

RIAFIN does not provide personal financial advice. All work product is prepared under the direction and supervision of the client's licensed financial advisers. The client retains full responsibility for the accuracy, appropriateness, and compliance of all financial advice provided to their end clients.

4. Use of the Website

4.1 Permitted Use

You may use this Site for lawful purposes only. You agree not to:

• Use the Site in any way that violates applicable laws or regulations.
• Attempt to gain unauthorised access to any part of the Site or its underlying systems.
• Transmit any malicious code, viruses, or harmful content.
• Scrape, harvest, or collect information from the Site through automated means without our consent.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

4.2 Account Security

If we provide you with access credentials for any client portal or communication platform, you are responsible for maintaining the confidentiality of those credentials and for all activities that occur under your account.

5. Intellectual Property

5.1 Our Content

All content on this Site — including text, graphics, logos, images, and software — is the property of RIAFIN or its content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our prior written consent.

5.2 Client Work Product

Work product created by RIAFIN in the course of providing services (e.g., SOAs, ROAs, research documents) is created on behalf of and belongs to the client, subject to the terms of the applicable Service Agreement.

6. Confidentiality

We understand the sensitive nature of financial planning data. RIAFIN maintains strict confidentiality obligations:

• All team members are bound by comprehensive Non-Disclosure Agreements (NDAs).
• Client information is accessed only through secure channels (VPN/VDI).
• No client data is stored on local devices or personal storage.
• Access to client systems is restricted to authorised team members assigned to the engagement.

Additional confidentiality terms may be specified in the applicable Service Agreement.

7. Limitation of Liability

7.1 Website Disclaimer

The information on this Site is provided for general informational purposes only. While we endeavour to keep the information accurate and up to date, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, or suitability of the information.

7.2 Service Liability

To the maximum extent permitted by law:

• RIAFIN shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services or this Site.
• Our total liability for any claim arising from our services shall not exceed the fees paid by the client for the specific services giving rise to the claim, in the twelve (12) months preceding the claim.
• RIAFIN is not liable for any losses arising from the client's reliance on work product without conducting their own independent review and verification.

7.3 Professional Responsibility

Clients remain solely responsible for ensuring that all financial advice provided to their end clients complies with applicable laws, regulations, and their AFSL obligations. RIAFIN's services are support services and do not constitute the provision of financial advice.

8. Indemnification

You agree to indemnify, defend, and hold harmless RIAFIN, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of our Site or services in violation of these Terms.

9. Termination

We reserve the right to suspend or terminate your access to our Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Termination of service engagements is governed by the applicable Service Agreement, which typically includes a 30-day notice period.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Australia.

11. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
